Terms of Service — soulbe.io & Consulting Services

1. Scope

These Terms apply to use of the soulbe.io marketing website and to the consulting, specification, development, and automation services SoulBe provides (the "Services").

These Terms do not apply to use of our SaaS platform (crm.soulbe.io) — the CRM platform has separate subscription terms.

By using the site or ordering a service you confirm that you have read, understood, and agreed to these Terms.

2. Nature of the Services

SoulBe provides business consulting and development in:

  • Business automation — Connecting systems, optimizing processes, integrations between third-party tools.
  • WhatsApp bots and other communication-channel bots.
  • Custom management system development — When existing tools aren't enough.
  • Technical consulting and guidance — Specification, strategy, ROI analysis.

Engagement model: Every project starts with an intro call (free, no commitment), followed by a specific quote. Detailed project terms are set in a separate written proposal.

3. Intro Call

  • The intro call is free and without commitment, lasting up to 30 minutes.
  • We discuss needs, examine preliminary ROI, and determine if there's a fit.
  • After the call we will not send a proposal unless you explicitly ask.
  • If you want to move forward — we send a quote detailing scope, fee, and timeline.

4. Quote and Contract

  • Every quote is valid for 30 days from issuance, unless stated otherwise.
  • Approval of a quote (by email or signature) constitutes contract initiation.
  • Projects exceeding ILS 5,000 require a separate detailed Statement of Work that supersedes these terms.

5. Payment

  • Payment terms — Detailed in the quote. Default: 50% on order, 50% on delivery.
  • Invoices — Sent by email in accordance with law.
  • VAT — Not included in prices unless otherwise stated.
  • Late payment — Unpaid invoices over 30 days from due date may trigger work stoppage, interest, and collection costs as permitted by law.

6. Cancellation

  • Private (non-business) customers: Entitled to cancel within 14 days of receiving the service, pursuant to the Israeli Consumer Protection Law (5741-1981), subject to lawful cancellation fees.
  • Business customers: Cancellation terms set in the quote. Default — payment for work already performed.
  • Project not started: If the project hasn't started — full refund minus payment-processing fees if any.

7. Permitted Site Use

The site is openly accessible. The following are prohibited:

  • Significant-scale automated scraping or activity that overloads the server.
  • Attempts to intrude, break in, or retrieve source code without authorization.
  • Using site content for commercial purposes without written permission.
  • Submitting offensive, misleading, or unlawful content to site forms.

8. Intellectual Property

  • Site content (texts, design, logo, graphics) — Owned by SoulBe or its licensors. Use without permission is prohibited.
  • Project deliverables — Ownership of deliverables is set in the quote. Default: the customer receives full ownership of the code and data upon final payment, including access to the GitHub repository.
  • Feedback / improvement suggestions — If you proactively provide us with an improvement idea, we may use it without compensation in future products.

9. Third-Party Services

Our projects may use third-party services (Google Cloud, AWS, OpenAI, WhatsApp Business, Stripe, etc.). The customer is responsible for:

  • Opening accounts with those services in their own name.
  • Paying for those services directly to the providers.
  • Complying with those providers' terms of use.

SoulBe can assist with registration and setup but is not responsible for the external services' operation, availability, or discontinuation.

10. Warranty

  • Our services are provided "as is" with reasonable professional effort.
  • We do not guarantee specific business outcomes (such as "you'll get X more leads" or "sales will increase by Y%"). Possible ROI is presented as forecast, not promise.
  • To the maximum extent permitted by law, our aggregate liability shall not exceed the amount you paid us in the specific project giving rise to the claim.
  • We are not liable in any case for indirect damages, lost profits, lost opportunities, or reputational damage.

11. Indemnification

The customer agrees to indemnify SoulBe against any third-party claim arising from:

  • Content or data the customer provided.
  • The customer's use of project deliverables in violation of law.
  • Infringement of third-party rights by the customer.

12. Confidentiality

The parties undertake to maintain confidentiality of any confidential business information exchanged within the project. For projects with sensitive information — we will sign a separate NDA upon request.

13. Force Majeure

We are not liable for delay or non-performance due to events beyond our control: act of God, war, pandemic, regulatory action, or third-party infrastructure failure.

14. Changes to Terms

These Terms may be updated from time to time. Material changes will be displayed on the site 30 days before they take effect. Continued use of the site after the change = agreement to the new terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel only. Exclusive jurisdiction — the competent courts in the Tel Aviv-Jaffa District.

16. Severability

If any provision is deemed void — the remaining provisions shall remain in effect.
